Unlike traditional private equity, HP SCF allows entrepreneurs to retain control of their business.
OUR MISSION
HP SCF targets senior equity investments with private equity-like returns. HP SCF strives to achieve protection of principal by:

OUR HISTORY
HP SCF was founded in 2014 by Harvest Partners, LP, an established private equity firm with a long history of making investments in middle-market companies.

HP SCF is led by an experienced team of investment professionals who have, collectively, 50+ years of private equity investment experience.

1964 - 2020
It is with deep sadness that we announce the passing of our Partner and Chief Financial Officer, Marc Unger. He was a great partner, mentor and friend whose dedication to the firm will continue to influence us all.

Marc Unger joined Harvest in 2015. Prior to joining Harvest, he was Chief Operating Officer & Chief Financial Officer of CCMP Capital Advisors. Previously, Marc held positions as Chief Financial Officer of UBS Capital Americas, the private equity spin-off from UBS AG, as well as Kiloran Corporation, a New York based hedge fund and began his career with Ernst & Young.

He received a B.S. degree in Accounting from Lehigh University and an M.B.A. from Columbia Business School.

The vision for HP SCF is to serve entrepreneurs and business owners that need equity capital, but believe deeply in the upside of their business such that they do not wish to dilute or liquidate their ownership.

HP SCF targets investments with equity-like returns, which possess higher safety of principal than common equity investments due to their structural seniority.

Attractive Risk Return Characteristics
HP SCF intends to target private equity-like returns, but will feature attachment points that provide an equity “cushion” below the HP SCF investment. This structure provides less reliance on terminal value as a driver of return and protection against potential multiple contraction in the future.

TRANSACTION SOURCING
Relationship-Oriented Sourcing
HP SCF has a relationship-oriented direct sourcing effort, including a focus on businesses that do not have a financial sponsor or professional investor. HP SCF’s sourcing effort is focused on accessing high quality businesses where an outright sale is not appropriate due to existing shareholders’ desires to retain or increase their ownership.
Seeking Competitive Advantage
While HP SCF does not avoid competitive situations, it will only participate in them if its investment professionals believe that HP SCF either has or can develop a differentiated point of view.

Partnering with Management
A key characteristic of a prospective HP SCF investment is a requirement that the target company have an experienced and high quality management team. HP SCF then partners with that team. When appropriate, HP SCF may offer strategic and operational insights and provide access to all of the resources of a traditional private equity firm to facilitate value creation and equity growth.

APPROACH TO INVESTMENT LIQUIDITY
Flexible Timetable
We structure our investments such that our managed funds can exit without the sale of the company. In the event that a business is performing on plan and less expensive capital is available, HP SCF will work with management to redeem our managed funds' liquidation preference and / or equity interest to provide a seamless transition for the business owner.

Our investments are also structured with the flexibility to sustain unforeseen downturns in a company’s business or industry.

We are equity investors providing equity solutions. Unlike debt, our investments do not have hard maturities or draconian features. This provides business owners with flexibility around the timing and structure of our exit.

Harvest Partners SCF, LP has striven to act as a responsible global citizen since its inception. Consistent with providing the best possible returns to our investors, we believe a genuine commitment to the highest standards of business practices and ethics is essential. By considering environmental, social, and corporate governance (“ESG”) factors into the investment decision-making process, it is our belief that we are building a long-term, sustainable, strategy and creating value for our portfolio companies and shareholders.

In developing our ESG policy, we have considered a range of industry standards, including the United Nations Principles for Responsible Investment, the UN Global Compact, and the American Investment Council’s Guidelines for Responsible Investment.
ESG Guiding Principles
As a non-control investor, we strive to integrate the following ESG considerations into our investment decision and portfolio oversight processes, where applicable, as well as our internal ESG management:

  • Climate Change: The identification and mitigation of both physical and transition risks that arise as a result of climate change will enable our portfolio companies to become more resilient, sustainable, and productive.

  • Environmental Impact: By minimizing and properly managing the environmental impact of raw materials in their operations, companies enjoy long-term cost-savings and may benefit from improved relations with regulatory bodies and local communities.

  • Diversity and Equal Employment Opportunity: Diversity in the workplace fosters greater innovation, while equal employment opportunity protections uphold the values of equal treatment and opportunity for all.

  • Social and Labor Conditions: By engaging and maximizing the potential of its human capital, a company can reduce unwanted employee turnover and realize improvements.

  • Worker Health and Safety: A company has a significant responsibility to its workforce to ensure employee protection from occupational safety and health risks in operations.

  • Supply Chain Compliance: Companies can extend their values to all parts of their operations, including their supply chains, by procuring inputs from sources that responsibly manage labor and safety risks.

  • Data Privacy and Security: Consumers increasingly expect companies to safeguard their personal data and other sensitive information. Adherence to stringent information security standards upholds company obligations to customers and regulatory bodies.

  • Product Safety and Integrity: Confidence in the safety and quality of a company’s products prevents costly penalties and bolsters a company’s reputation.

  • Anti-Bribery and Corruption: Anti-bribery and corruption diligence improves companies’ capacity to prevent incidents that may arise from operations in countries at risk of bribery and corruption, preserving reputational capital and avoiding regulatory fines.

  • Ethics and Compliance: Ethics and compliance standards serve to prevent conflicts of interest and other appearances of ethical impropriety that may otherwise place companies at risk, especially in engagements with U.S. government entities.
ESG Incorporation
In executing the above ESG Principles, our Investment Professionals shall strive to:

  • Conduct ESG focused due diligence to identify and address risks and opportunities that are material to the operational and financial performance of our portfolio companies.
  • Monitor portfolio companies at least annually to track progress on ESG issues that have already been identified and to be alert to new issues.

In executing the above ESG Principles, Senior Leadership shall strive to:

  • Set ESG policy at the firm level and for the investment process.
  • Provide training on Harvest’s ESG protocols and procedures to investment professionals to align policy commitments and the investment process.

Principles for Responsible Investment
As institutional investors, we believe that we have a duty to act in the best long-term interests of our beneficiaries. In this fiduciary role, we believe that environmental, social, and corporate governance (ESG) issues can affect the performance of investment portfolios to varying degrees across companies. We also recognize that weighing these issues in the context of our decision making may better align investors with broader objectives of society.

As such, HP SCF regularly performs environmental due diligence on all portfolio companies and avoids investments in sectors like tobacco, pornography, firearms, etc. In addition, HP SCF conducts significant strategic due diligence on every potential investment. This due diligence generally includes the impact that potential environmental, government, and social issues/trends may have on the ultimate financial performance of an investment. In this due diligence process, HP SCF regularly engages advisors to review and provide comment and analysis on the potential impact of a variety of factors which generally include environmental issues, corporate governance standards, and social trends.
